The proposed transaction concerns the proposed acquisition by UnionBank of the Philippines, from various subsidiaries of Citigroup Inc., of the consumer banking business of Citibank N.A. (Philippine Branch) and 100% of the outstanding capital stock of Citicorp Financial Services and Insurance Brokerage, Inc.
